Review completed and Altman, Brockman will continue to lead OpenAI


A special panel of the OpenAI board today announced the completion of WilmerHale's review. The company conducted dozens of interviews with members of OpenAI's previous board, OpenAI executives, advisors to the previous board and other relevant witnesses; reviewed more than 30,000 documents; and evaluated various corporate actions. Based on the record produced by WilmerHale and following the recommendation of the Special Committee, the Committee expressed its full confidence in the ongoing leadership of Mr. Sam Altman and Mr. Greg Brockman of OpenAI.

“We unanimously agreed that Sam and Greg are the right leaders for OpenAI,” said Bret Taylor, Chairman of the OpenAI Board.

Sam Altman, as CEO, will rejoin OpenAI's board of directors.

OpenAI's board of directors also announced today the election of three new board members as part of its commitment to expansion, including:

  • Dr. Sue Desmond-Hellmann, former executive director of the Bill and Melinda Gates Foundation and on the board of directors of Pfizer and on the president's council of advisers on science and technology.
  • Nicole Seligman, former Executive Vice President and Global General Counsel of Sony and Chairman of Sony Entertainment and Board Member of Paramount Global, Meira GTx and Intuitive Machines, Inc.
  • Fiji Simo, CEO and President of Instacart and member of the Board of Directors of Shopify


The new members have experience leading global organizations and managing complex regulatory environments, including experience in technology, non-profit organizations and board governance. He will work closely with current board members Adam D'Angelo, Larry Summers, and Bret Taylor, as well as Greg, Sam, and OpenAI's senior management.

Taylor further stated, “As Chairman of the Board, I am excited to welcome Sue, Nicole and Fidji to the OpenAI Board of Directors. Their experience and leadership will enable the Board to oversee the growth of OpenAI and ensure that we pursue OpenAI's mission of providing universal general artificial intelligence for the benefit of all humanity.”

The board also announced the adoption of important improvements to OpenAI's governance structure. Key improvements include:

  • Adoption of a new set of corporate governance guidelines;
  • Strengthening OpenAI's conflict of interest policy;
  • Creation of a whistleblower hotline to serve as an anonymous reporting source for all OpenAI employees and contractors; and
  • Creation of additional board committees, including a mission and strategy committee focused on the implementation and advancement of OpenAI's core mission.

The expanded board will prioritize its critical work on improving governance procedures to best achieve OpenAI's mission. “We recognize the magnitude of our role in managing transformative technologies for global good,” added Taylor.

The Special Committee acknowledged the important work done by WilmerHale in conducting this extensive review and thanked current and former OpenAI board members, advisors and employees for their cooperation. A special committee of the OpenAI board of directors published a summary of the findings.
